1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Penguins.travel, including our website, platform, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you disagree with any part of these Terms, you may not access or use our Services.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Be a registered travel advisor or authorized hotel representative
• Provide accurate and complete registration information
• Comply with all applicable laws and regulations

3. Account Registration and Security

3.1 Account Creation

You must create an account to access most features of our Services. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

3.3 Account Verification

We reserve the right to verify your credentials, professional status, and booking history. You agree to provide documentation as reasonably requested for verification purposes.

4. Use of Services

4.1 License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for legitimate business purposes related to luxury travel.

4.2 Prohibited Activities

You agree not to:

• Upload false, fraudulent, or misleading booking information
• Impersonate any person or entity or misrepresent your affiliation
• Use automated systems (bots, scrapers) to access the Services
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any portion of the Services
• Copy, modify, distribute, or reverse engineer any part of the Services
• Use the Services for any illegal or unauthorized purpose
• Harass, abuse, or harm other users

5. Booking Confirmations and Rewards

5.1 Booking Uploads

Travel advisors may upload booking confirmations to earn reward points. You represent and warrant that all uploaded bookings are legitimate, accurate, and verifiable. Fraudulent uploads may result in immediate account termination and forfeiture of all rewards.

5.2 Reward Points

Reward points are awarded based on verified bookings and have no cash value. Points can be redeemed for benefits as specified in our Rewards Program. We reserve the right to modify the rewards structure, point values, and redemption options at any time with reasonable notice.

5.3 Verification

We reserve the right to verify booking confirmations with hotel partners. Unverified or fraudulent bookings will result in point forfeiture and potential account termination.

6. Hotel Offers and Campaigns

Hotels may create offers and campaigns distributed through our platform. Offers are subject to availability and hotel terms. We are not responsible for offer fulfillment, availability changes, or disputes between advisors and hotels.

Hotels retain the right to modify or cancel offers at any time. Advisors should verify offer terms directly with hotels before making client commitments.

7. Intellectual Property

7.1 Our Rights

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the exclusive property of Soulution Insights LDA and are protected by copyright, trademark, and other intellectual property laws.

7.2 User Content

By uploading content to our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with operating and improving the Services. You retain ownership of your content.

8. Payment Terms

For travel advisors, our Services are currently provided free of charge. Hotels pay fees for platform access and services. We reserve the right to introduce fees for advisor services with reasonable advance notice.

All fees are non-refundable unless otherwise stated. We reserve the right to change our fee structure at any time.

9. Disclaimers and Limitations of Liability

9.1 Service Availability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

9.2 Third-Party Content

We are not responsible for the accuracy, completeness, or reliability of hotel offers, property information, or other third-party content provided through the Services.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PENGUINS TRAVEL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Soulution Insights LDA, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

11. Termination

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Services will immediately cease, and any unredeemed reward points will be forfeited.

You may terminate your account at any time by contacting us. Termination does not affect any rights or obligations that arose prior to termination.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

12.2 Arbitration

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Miami, Florida, in accordance with the rules of the American Arbitration Association.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes constitute acceptance of the modified Terms.
